Merger and acquisition (M&A) activity is supported within the OutSystems Partner Program. Participants exploring an M&A opportunity should be informed and aware of the varying Program implications, as well as any partner agreement terms that may require OutSystems to consent to the M&A activity. The below document identifies what the Partner Program supports in terms of merging entities within the program.

We have divided the most common M&A outcomes into the three categories below, with respective Program implications and how we can best support these acquisition motions: 

Full Acquisition: 

Outcome: The acquired entity is fully integrated within the acquiring company (which must be an active, contracted partner), with the acquired entity ceasing to exist as a distinct entity on any level. 

Program Impact: Select Program related achievements associated with the acquired entity are able to be transferred to the acquiring company. (See table below for details) The acquired entity’s Participant record will be subsequently deactivated. The acquired entity will no longer have a separate and distinct Partner Profile within Partner Finder.



 

Vertical Merger 

Outcome: The acquired company becomes a subsidiary of the acquiring company (which must be an active, contracted partner) and viewed in the market as a single brand. 

Program Impact: All Program related achievements associated with the acquired entity will remain associated with that entity and count towards the achievements of the acquiring company (which will become the “parent” Participant). The acquired entity’s Participant record will remain active and included in Program statistics, however, the acquired entity will no longer have a separate and distinct Partner Profile within Partner Finder.  The only profile available in Partner Finder will be that of the Acquiring company. 

  • Note: This is assuming that both the acquired company and acquiring company are existing, active OutSystems partners.

Conglomerate 

Outcome: The acquired company continues to operate as a separate division, business unit, entity or affiliate of the acquiring company (which must be an active, contracted partner) and is generally viewed in the market as a distinct brand of its own. 

Program Impact: All Program related achievements associated with the acquired entity will remain associated with that entity but will also count towards the achievements of the acquiring entity (which will become the “parent” Participant). The acquired entity’s Participant record will remain active and included in Program statistics. The acquired entity will still have a separate and distinct Partner Profile available within Partner Finder. 

  • Note: This is assuming that both the acquired company and acquiring company are existing, active OutSystems partners.

*CSAT scores are not currently able to be migrated from one partner record to another.  Until the Partner Program supports this functionality, we recommend identifying prior CSAT scores in your partner profile and/or initiating a new CSAT survey with your client.

** Proficiency Scores are calculated for each partner using several variables.  As a result, the acquiring partner Proficiency Score will be re-calculated after any migration has occurred.  

Partner Manual Migration steps: 

Leads:

Partners can access leads through the old partner account in Partner Center.  After accessing the lead details, they can decide if they want to approve or reject them.  In the event they approve the lead, they can then open opportunities on the new partner account.

 

Portfolio:

In order to move the portfolio, the partner will need to recreate it manually on the new account.

 

Members and Certifications:

  1. Partners add the new members to the new account

  2. Members will receive a personalized welcome letter for the new account.

  3. NOTE: if partners have free exams or paid exams, Outsystems will remove it from the old account and update the number of it on the new account.
